3M to Acquire Scott Safety from Johnson Controls

Acquisition Expands 3M’s Presence in Personal Safety Industry

ST. PAUL, Minn.- 3M (NYSE: MMM) today announced that it has entered into a definitive agreement to acquire Scott Safety from Johnson Controls for a total enterprise value of $2.0 billion. Scott Safety is a premier manufacturer of innovative products, including self-contained breathing apparatus (SCBA) systems, gas and flame detection instruments, and other safety devices that complement 3M’s personal safety portfolio.

“Personal safety is a core growth business within the 3M portfolio,” said Inge G. Thulin, 3M chairman, president and chief executive officer. “This acquisition leverages our fundamental strengths in technology, manufacturing, global capabilities and brand, and builds upon recent portfolio actions within our Safety and Graphics business to position it for long-term success.”

Scott Safety’s products help protect firefighters, industrial workers, police, military, homeland security forces, and rescue teams around the world from environmental hazards. The business had annual revenues in 2016 of approximately $570 million.

“Scott Safety is a recognized leader in the safety industry with a portfolio of strong products, brands, and a talented team of dedicated employees,” added Frank Little, executive vice president, 3M Safety and Graphics Business Group. “Combining 3M’s products, brands and global capabilities in personal protective equipment with Scott Safety’s well-regarded safety products will provide a broader array of safety products and solutions, enhancing our relevance to customers worldwide.”

The business also supplies products and solutions in other safety categories such as reflective materials for high-visibility apparel, protective clothing and head, eye, and face protection.

On a GAAP reported basis, 3M estimates the acquisition to be $0.10 dilutive to earnings in the first 12 months following completion of the transaction. Excluding purchase accounting adjustments and anticipated one-time expenses related to the transaction and integration, 3M estimates the acquisition to be $0.10 accretive to earnings over the same period.

The transaction is expected to close in the second half of 2017, subject to customary closing conditions, regulatory approvals, and information or consultation requirements with relevant works councils. 3M will finance the transaction through a combination of cash and debt.

New NFPA® Firefighter Training Courses to Be on Display at FDIC International 2017

SAN DIEGO, April 26, 2017 – TargetSolutions, the leading provider of computer-based training management applications for public safety agencies, will be shining the spotlight on two new series of NFPA® training during FDIC International 2017 at Booth #13018.

Stop by booth No. 13018 during exhibit hall hours to receive an up-close look at 14 new video-based courses written to the NFPA® 1410 standard and three new NFPA® 1041 courses for instructors. These dynamic training lessons, written to NFPA standards, give TargetSolutions’ online course catalog 80 hours of NFPA® training and more than 700 hours of training for fire departments.

The NFPA® 1410 series delivers step-by-step, high-definition video demonstrations of each evolution. TargetSolutions representatives will be at FDIC to provide attendees with an overview of the series, which released to customers in March.

The courses were written and directed by Paul Costello, a training officer at Hillsborough County Fire Rescue in Florida, and produced in conjunction with the St. Charles Fire Department in St. Charles, Mo. and Pasco County Fire Rescue in Land O’ Lakes, Fla.

“The 1410 evolutions are basic single and multi-company evolutions that have been created as a standard for the NFPA,” said Costello. “They are representative of some of the most important basic skill sets that fire companies should practice on and master because these are the bread and butter of what we do on a fireground.”

TargetSolutions will also be providing live demonstrations of its new NFPA® 1041 training bundle during FDIC’s exhibit hall hours. These courses, scheduled for release in early April, focus on a fire instructor’s functioning skills and knowledge.

The three lessons provide a natural progression for an individual to develop from entry-level instructor to chief of training. Topics explored in this series include preparing and presenting a topic, instructor credibility, curriculum development, instructor selection, and more.

“NFPA 1041 switches things up and approaches the subject matter from the instructor’s perspective,” said TargetSolutions’ Content Manager Bryan Fitzgerald. “These courses give instructors the tools needed to develop and manage a successful training program.”

Also, TargetSolutions is sponsoring a special classroom session, “NFPA 1403: The Fire Instructor’s Risk Management Tool.” Walter Morris, a training program manager with the Maine Fire Service Institute, will be presenting on the topic. The session will be held Friday, April 28 at 10:30 a.m. in Room 132-133.

TargetSolutions will be exhibiting its new NFPA® training content, as well as the previously released NFPA® 1403 Live Fire Training Evolutions course, at Booth No. 13018 during FDIC International 2017. If you have any questions, please contact us today at (800) 840-8046.

Halton: The Completion of Our Duties, Sacred and Ordinary...

Bobby Halton

In his Opening Address on Wednesday, Chief Bobby Halton, FDIC International education director and editor in chief of Fire Engineering, highlighted the concept of honor to duty” and described how it has served as a thread that has connected the fire service and other uniformed services with ancient times and will continue to connect them with the future.

Halton extended an invitation to the audience: “As a community that has answered the call to duty, let’s celebrate the qualities and virtues that undergird our profession and other uniformed services. Let us revel in natural goodness, honor, principles, and morality. Above all, let us honor duty, which compels men and women in uniform to be honest and forthright.”

Examples of individuals who have preserved the continuity of these qualities and virtues Halton presented included the following:

• The king of Uruk (the part of the world then known as Iraq), who details in The Epic of Gilgamesh, his “unrelenting efforts to complete his duties both sacred and ordinary.” The Epic, written on clay tablets, is considered the first record of the written word.

• World War II’s Lt. Col. James “Maggie” Megellas, the most decorated officer in the U.S. Army 82nd Airborne Division (and his H company).

• World War II’s George S. Patton, American task force commander of the third Army, who wrote in his diary, “I hope that, whatever comes up, I shall be able to do a full duty ….”

• The “thousands upon thousands of patriots who fought and died to defend their countries and liberate others” because they knew it to be their duty.

 • Bob “Bullfighter” Murray, a 5 Points junior firefighter at the age of 15 and an Army enlistee in the Viet Nam War at the age of 19, who jeopardized his life to save his fellow soldiers.

• Lt. Timmy “Jobs” Stackpole, Lt. James Blackmore, and Capt. Scott LaPiedra, Fire Department of New York, who responded to a four-alarm fire in a Brooklyn rowhouse on June 5, 1998. They entered the well-involved building to rescue a trapped woman. Without warning, the floor collapsed. They were trapped in fire for almost a half-hour, being burned alive. Lt. Blackmore died at the scene. Capt. LaPiedra suffered serious burns; he died 29 days later. Jobs, burned over 30 percent of his body, was near death for many days and in the burn unit for 66 days. Although his injuries qualified him for a retirement pension, he returned to full duty in March 2001 after years of painful surgeries and skin grafts. He was promoted to captain in September 2001 and was among the first to arrive at the World Trade Center site on 9/11. He led his crew into 2 World Trade Center. Searchers found his body a week later. Today, Timmy Stackpole’s Foundation’s mission statement reflects his beliefs, dedication, and spirit: “It is our God-given mission that in times of trouble, grief, sorrow, trial and disaster, each of us has an obligation, a duty to reach out to help others, in any way we can.”

All these individuals, Halton said, exhibited the attitudes, courage, achievements, selflessness, mores, and principles comparable to those of the brave men and women in the audience and their counterparts in other uniformed services. Thus, we continue that long line of ordinary citizens, firefighters, who heard that call to duty and were compell
